Terms of Service

By accessing or using any part of our website at cyberinitiation.in (the “Site”), our free tools, our AI chatbot, or our services, you (“you”, “Client”) agree to be bound by these Terms of Service (“Terms”).

CyberInitiation is a brand of CINITIATION TECHNOLOGIES PRIVATE LIMITED, CIN U73100DL2025PTC454312, registered in Delhi, India.

If you do not agree with any part of these Terms, do not use the Site or engage our services.

CyberInitiation provides the following services:

• Headless Development — building Next.js + Hydrogen storefronts on top of Shopify.
• Shopify Migration — migrating from legacy platforms or Liquid themes to headless architecture.
• Performance Optimization — Core Web Vitals overhaul, image and font pipeline optimisation, script cleanup.
• CRO Optimization — A/B testing, checkout flow redesign, personalisation.
• AI Automation (Add-on) — WhatsApp agents, voice agents, cart recovery, support autopilot, deployed on top of a headless build.
• Free Tools — Store X-Ray, Speed Test, Stack Detector, Revenue Leak Calculator.
• AI Chatbot (CYBERINITIATION AI) — an interactive assistant on our website.

All services are subject to a separate written proposal and contract for the specific engagement. These Terms are supplementary to that contract.

Our free tools (Store X-Ray, Speed Test, Stack Detector, Revenue Leak Calculator) are provided “as is” for informational purposes:

• No warranty — the data shown is derived from third-party sources (primarily Google PageSpeed Insights) and third-party detection heuristics. We do not warrant its accuracy.
• No SLA — free tools are provided without uptime guarantees.
• Fair use — you agree not to abuse the tools through automated requests, scrapers, or bulk submissions. We reserve the right to rate-limit or block abusive use.
• URL permissions — by submitting a URL to our tools, you confirm you have the right to analyse that URL (i.e., it is your own store, or you have the owner's permission).
• No reliance — free tool results are not a substitute for a paid audit and should not be relied upon for critical decisions.

Our AI chatbot (CYBERINITIATION AI) is powered by large language models (Groq + OpenAI). By using it, you acknowledge:

• AI-generated content — responses are generated by AI and may contain errors, omissions, or outdated information.
• Not professional advice — the chatbot does not provide legal, financial, or professional advice. Do not rely on it for binding decisions.
• Data handling — conversations are processed by Groq and OpenAI under their respective API terms. See our Privacy Policy for details.
• No confidentiality — do not share passwords, API keys, or confidential business information with the chatbot.
• Guardrails — the chatbot follows configured instructions but may occasionally behave unexpectedly. We are not liable for its outputs.

When you engage us for paid services, the following applies:

a) Proposal & Scope

All engagements are governed by a written proposal (PDF or e-signature) that defines the scope, deliverables, timeline, and price. Anything not explicitly listed in the proposal is out of scope.

b) Fixed-Price Model

We quote fixed prices. There are no hourly fees or surprise invoices. If scope changes materially, we issue a written change order before proceeding.

c) Payment Terms

• Standard milestone split: 40% upfront, 30% at mid-build, 30% at launch.
• Larger engagements (₹10L+) may be split into monthly milestones.
• All prices are in Indian Rupees (INR) unless otherwise specified.
• GST is applicable for Indian clients as per prevailing rates.
• Invoices are due within 7 days of issue unless specified otherwise.

d) Timeline

Timelines are estimates based on the scope and cooperation levels agreed at kickoff. We keep the timeline updated weekly. If delay is caused by us, we absorb the cost (per our Performance Guarantee). If delay is caused by client-side factors (delayed access, delayed feedback, scope changes), timelines reset transparently.

To enable us to deliver effectively, you agree to:

• Provide required access (Shopify admin, analytics, apps) within 3 business days of kickoff.
• Designate a single decision-maker as point of contact.
• Respond to approval requests within 48 hours on weekdays.
• Attend weekly demo calls (typically 30 minutes).
• Provide content assets (logos, imagery, copy) as needed.
• Not engage with our deliverables in ways that violate third-party terms (e.g., bulk scraping, spam).

a) What you own

Upon full payment, you own all custom code, designs, and content deliverables built specifically for your project. This includes frontend code, custom components, and business logic.

b) What we retain

We retain ownership of our pre-existing libraries, internal tooling, frameworks, documentation templates, and reusable components. Where these are incorporated into your deliverables, you receive a perpetual, non-exclusive licence to use them.

c) Third-party assets

Third-party libraries, plugins, and services (Shopify, Sanity, Clerk, Vercel, etc.) remain under their respective licences.

d) Portfolio use

Unless you request otherwise in writing, we may showcase your project in our portfolio, case studies, and marketing materials. If you require confidentiality, we will honour an NDA.

We provide explicit performance guarantees on our service tiers (sub-1s LCP, 90+ Lighthouse on eligible projects). If we miss the target, we keep working at no additional cost until we hit it.

Beyond these explicit guarantees, our services are provided “as is” and “as available”. We do not warrant uninterrupted, error-free operation of your store beyond industry-standard SLAs.

To the maximum extent permitted by law, CyberInitiation shall not be liable for:

• Indirect, incidental, special, or consequential damages.
• Loss of revenue, profits, data, or business opportunity.
• Third-party service outages (Vercel, Shopify, Sanity, etc.).
• Delays caused by client-side factors or force majeure events.

Our total aggregate liability for any engagement shall not exceed the total fees paid by you for that engagement in the preceding 3 months.

By You

You may terminate an engagement at any time with written notice. Any completed milestones and the non-refundable deposit are owed.

By Us

We may terminate if: (a) you materially breach these Terms or the engagement contract and fail to cure within 14 days of notice, (b) we determine the engagement is not viable, or (c) required by law.

Effect

Upon termination, we hand over all work completed to date. Amounts due become payable within 14 days.

Each party agrees to keep the other's confidential information (business data, customer lists, trade secrets, technical architectures) confidential during and after the engagement. This obligation survives termination.

These Terms are governed by the laws of India. Any dispute arising from these Terms or from an engagement shall be resolved as follows:

• Step 1 — Good faith negotiation for 30 days.
• Step 2 — Mediation in Delhi, India.
• Step 3 — Arbitration under the Arbitration and Conciliation Act, 1996, seated in Delhi, India, conducted in English.
• Courts of Delhi have exclusive jurisdiction for any matter not subject to arbitration.

We may update these Terms periodically. Material changes will be notified via email (if you have an account) or by prominent notice on the Site. Your continued use after changes take effect constitutes acceptance.
